Welcome to Panaceon AI. By accessing or using our clinical trial protocol platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you (whether personally or on behalf of an organization) and Panaceon AI Ltd. ("Panaceon", "we", "us", or "our").
Description of Service
Panaceon AI provides an AI-powered platform for clinical trial protocol development, including:
- Protocol Generation (Aglaea): AI-assisted creation of clinical trial protocol documents
- Compliance Validation (Hygeia): Automated checking against FDA, EMA, and ICH regulatory guidelines
- Amendment Tracking (Iaso): Version control and change management for protocol documents
- Knowledge Base (Aceso): Searchable database of regulatory guidance and clinical trial information
The Service is designed to assist qualified medical professionals in their work but does not replace professional judgment, regulatory consultation, or legal advice.
Eligibility and Account Registration
3.1 Eligibility
The Service is intended for use by pharmaceutical companies, biotechnology firms, contract research organizations (CROs), academic medical centers, and qualified clinical research professionals. By using the Service, you represent that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding agreements
- You are authorized to act on behalf of your organization (if applicable)
- You possess the professional qualifications relevant to clinical trial protocol development
3.2 Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your information to keep it accurate
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Subscription Plans and Billing
4.1 Subscription Tiers
The Service offers various subscription tiers (Starter, Professional, Enterprise) with different features and usage limits. Current pricing and plan details are available at panaceon.ai/pricing.
4.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All payments are processed securely through Stripe
- Prices are exclusive of applicable taxes unless otherwise stated
- Failed payments may result in service suspension
4.3 Free Trial
We may offer a free trial period. At the end of the trial, you will be automatically enrolled in your selected subscription plan unless you cancel before the trial ends.
4.4 Cancellation and Refunds
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- No refunds are provided for partial billing periods
- Enterprise customers should refer to their specific agreement terms
Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful purposes related to clinical trial protocol development and in accordance with these Terms.
5.2 Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Submit false, misleading, or fraudulent information
- Attempt to circumvent any security measures or access controls
- Interfere with or disrupt the Service or its infrastructure
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Share account credentials or allow unauthorized access
- Use the Service to develop competing products or services
- Submit content that infringes intellectual property rights of others
- Transmit malware, viruses, or other malicious code
Intellectual Property Rights
6.1 Panaceon's Intellectual Property
The Service, including its original content, features, functionality, software, and technology, is owned by Panaceon AI and protected by international copyright, trademark, patent, and trade secret laws.
6.2 Your Content
You retain ownership of all protocol content, documents, and data you submit to the Service ("Your Content"). By using the Service, you grant Panaceon a limited license to:
- Process Your Content to provide the Service
- Store Your Content in accordance with our data retention policies
- Use anonymized and aggregated data to improve our AI models and Service (no personally identifiable or proprietary information will be used)
6.3 AI-Generated Content
Content generated by our AI is provided for your use, but you acknowledge that:
- AI-generated content requires professional review and validation
- Panaceon does not guarantee the accuracy, completeness, or regulatory compliance of AI-generated content
- You are solely responsible for reviewing, editing, and approving all content before submission to regulatory authorities
Data Processing and Security
7.1 Data Protection
We process your data in accordance with our Privacy Policy. We implement enterprise-grade security measures including encryption, access controls, and regular security audits.
7.2 Data Processing Agreement
Enterprise customers requiring a formal Data Processing Agreement (DPA) for GDPR compliance or other regulatory requirements should contact us at legal@panaceon.ai.
7.3 Confidentiality
We treat Your Content as confidential and will not share it with third parties except as necessary to provide the Service or as required by law. Our employees and contractors are bound by confidentiality obligations.
Disclaimers and Limitations
8.1 Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PANACEON DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
- REGULATORY COMPLIANCE OR APPROVAL OF GENERATED PROTOCOLS
8.2 Professional Responsibility
Important: The Service is a tool to assist clinical research professionals, not a substitute for professional judgment. You acknowledge that:
- All AI-generated content must be reviewed by qualified professionals
- You are solely responsible for the accuracy and compliance of protocols submitted to regulatory authorities
- Panaceon does not provide medical, legal, or regulatory advice
- You should consult appropriate professionals for specific compliance questions
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANACEON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Regulatory penalties or fines
- Clinical trial delays or failures
- Costs of alternative services
Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Panaceon, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Protocols or documents you submit to regulatory authorities
Term and Termination
10.1 Term
These Terms remain in effect until terminated by either party.
10.2 Termination by You
You may terminate your account at any time by canceling your subscription and deleting your account through the settings page, or by contacting us at support@panaceon.ai.
10.3 Termination by Panaceon
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- You fail to pay applicable fees
- We are required to do so by law
- We discontinue the Service (with reasonable notice)
10.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will provide you with the ability to export Your Content for a reasonable period (typically 30 days) after termination, unless legally prohibited.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email notification to your registered email address
- Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
Governing Law and Disputes
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unsuccessful within 30 days, the dispute shall be submitted to binding arbitration in London, United Kingdom.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Panaceon regarding the Service.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
13.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, war, terrorism, or government actions.
